Terms of Service

These Terms of Service ("Terms") govern your use of ResponderOne, the resource management platform operated by ResponderOne LLC ("Company," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.
1. Service Description
ResponderOne is a comprehensive resource management platform that includes web-based applications, mobile applications for iOS and Android devices, APIs, and all related services and functionality (collectively, the "Services"). ResponderOne is designed for emergency service providers, healthcare organizations, and other professional entities. Our Services allow organizations to:
- Manage and organize operational protocols and procedures
- Store and access training materials and documents
- Customize branding and organizational settings
- Provide secure, role-based access to authorized personnel
- Access critical information offline when needed
2. Account Registration and Access
2.1 Organization Accounts
To use ResponderOne, your organization must register for an account and maintain an active subscription. The organization administrator is responsible for:
- Providing accurate registration information
- Managing user invitations and access permissions
- Maintaining current billing information
- Ensuring compliance with these Terms by all users
2.2 User Accounts
Individual users access ResponderOne through invitations from their organization. Users are responsible for:
- Maintaining the security of their login credentials
- Using the service only for authorized business purposes
- Complying with their organization's policies and these Terms
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3. Subscription and Billing
3.1 Subscription Plans
ResponderOne is offered on a subscription basis. Subscription fees, features, and terms are as described on our pricing page or in your service agreement.
3.2 Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- You authorize us to charge your designated payment method for all applicable fees
- Late payments may result in service suspension
3.3 Price Changes
We may modify subscription pricing with thirty (30) days advance notice. Price changes will take effect at your next billing cycle.
4. Acceptable Use
4.1 Permitted Use
You may use the Services only for lawful business purposes consistent with these Terms and your organization's legitimate operational needs.
4.2 Prohibited Activities
You may not:
- Upload malicious software, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or other users' data
- Use the service to store or transmit illegal, harmful, or inappropriate content
- Reverse engineer, decompile, or attempt to extract source code
- Resell, redistribute, or provide access to unauthorized third parties
- Use the service in ways that could damage, disable, or impair our infrastructure
4.3 Content Standards
All content uploaded to ResponderOne must comply with applicable laws and regulations. You are solely responsible for the content you upload and its compliance with relevant industry standards and legal requirements.
5. Data Ownership and Privacy
5.1 Customer Data
You retain all rights, title, and interest in the data, documents, and content you upload to ResponderOne ("Customer Data"). We do not claim ownership of your Customer Data.
5.2 Data Processing
We process Customer Data solely to provide our services as described in our Privacy Policy. We implement appropriate technical and organizational measures to protect your data.
5.3 Data Portability
Upon request and subject to our data export capabilities, we will provide you with your Customer Data in a reasonably portable format.
5.4 Data Deletion
Upon termination of your subscription, we will delete your Customer Data according to our standard data retention policies, typically within ninety (90) days, unless legally required to retain it longer.
6. Intellectual Property
6.1 ResponderOne Platform
ResponderOne, including all software, technology, designs, and documentation, is our proprietary property protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use our platform during your subscription term.
6.2 Customer Content
You grant us a limited license to host, store, and transmit your Customer Data solely as necessary to provide our services. This license terminates when you delete the content or terminate your subscription.
6.3 Feedback
If you provide feedback or suggestions about ResponderOne, we may use such feedback without obligation or compensation to you.
7. Service Availability and Support
7.1 Service Uptime
We strive to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.
7.2 Support
We provide customer support during normal business hours via email and our support portal. Response times may vary based on subscription plan and issue complexity.
7.3 Service Modifications
We may modify, update, or enhance the Services from time to time. We will provide reasonable notice of material changes that may affect your use of the Services.
8. Warranties and Disclaimers
8.1 Limited Warranty
We warrant that the Services will perform substantially in accordance with our published specifications during your subscription term.
8.2 Disclaimer
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.3 Emergency Services Disclaimer
ResponderOne is a resource management tool and should not be used as the sole source of information during actual emergency responses. Users are responsible for following their organization's established emergency protocols and procedures.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
9.1 Damages Limitation
IN NO EVENT SHALL RESPONDERONE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
9.2 Liability Cap
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9.3 Essential Terms
These limitations are essential elements of our agreement and will apply even if any limited remedy fails of its essential purpose.
10. Indemnification
You agree to indemnify and hold ResponderOne LLC harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services in violation of these Terms
- Your Customer Data or its use
- Your violation of any applicable laws or third-party rights
11. Termination
11.1 Termination by You
You may terminate your subscription at any time through your account settings or by contacting us. Termination will be effective at the end of your current billing period.
11.2 Termination by Us
We may terminate your access immediately if you breach these Terms, fail to pay fees, or if we discontinue the service with thirty (30) days notice.
11.3 Effect of Termination
Upon termination:
- Your access to the Services will cease
- Your Customer Data will be deleted according to our retention policies
- All outstanding fees become immediately due
12. General Provisions
12.1 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
12.2 Dispute Resolution
Any disputes arising from these Terms will be resolved through binding arbitration in Bryan, Texas, except for claims involving intellectual property or injunctive relief.
12.3 Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and ResponderOne LLC.
12.4 Modifications
We may modify these Terms by providing thirty (30) days notice. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.
12.5 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
12.6 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
